drolx Project License (BSL 1.1)

1. Definitions

1. Licensor: drolx Lab
2. Licensed Work: The software code, source code, object code, documentation, and related materials developed by drolx Lab for any specific client (“Client”) upon request.
3. Client: The entity for whom the Licensed Work was created under contractual agreement with drolx Lab.
4. Change Date: A date defined by Licensor upon publication or distribution of a specific version of the Licensed Work.
5. Change License: A license under which the Licensed Work will be made available after the Change Date, as defined by the Licensor.
6. NDA Period: The period during which a non-disclosure agreement between drolx Lab and the Client remains in force (typically averaging 18 months from execution unless extended by written contract).

2. License Grant

Subject to the terms and conditions of this License:

2.1 Source and Modification Rights

Licensor hereby grants you the right to copy, modify, create derivative works, and redistribute the Licensed Work for purposes consistent with this License until the Change Date. ([spdx.github.io][1])

2.2 Client Use Rights

The Client is granted a perpetual, non-exclusive, non-transferable right to use the deployed instance of the Licensed Work for any lawful business purpose without seeking additional permission from drolx Lab. This right applies to the deployed version but does not grant rights to license, distribute, resell, or further sublicense the code itself.

2.3 Company Internal Use After NDA

drolx Lab may use, modify, or incorporate the Licensed Work for use in other business contexts after the expiry of the NDA Period. During the NDA Period, such use is subject to the terms of that NDA.

2.4 Exclusive Licensing Rights

All rights to license or sublicense the code belong exclusively to drolx Lab. The Client may not license, sublicense, or distribute the code beyond the rights expressly provided in Section 2.2.

3. Restrictions

3.1 You may not license, sublicense, resell, or distribute the source code of the Licensed Work to third parties, except as explicitly permitted by this License. 3.2 You may not provide the Licensed Work as a service, hosted or otherwise, to third parties unless expressly authorized in writing by drolx Lab. 3.3 Any attempt to exercise rights not granted under this License automatically terminates your rights under this License. 4. Change Date and Conversion

On the Change Date (set by drolx Lab when a version of the Licensed Work is first made available under this License), the rights granted under Sections 2 and 3 will automatically terminate, and the Licensed Work will be governed by the Change License specified by drolx Lab at that time. 5. Warranty Disclaimer and Limitation of Liability

THE LICENSED WORK IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING (WITHOUT LIMITATION) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY ARISING FROM THE USE OR OTHER DEALINGS IN THE LICENSED WORK. ([spdx.github.io][1])

6. Miscellaneous

6.1 Notice: You must conspicuously display this License on each copy of the Licensed Work you distribute (source or object). 6.2 Trademark: This License does not grant any rights to use the trademarks, service marks, or logos of drolx Lab beyond any rights expressly provided herein. 6.3 Governing Law: This License is governed by the laws agreed upon in the contract between drolx Lab and the Client, or if not specified, by the laws of the Licensor’s principal place of business.
